The Bain Wagon Company Ltd. was given a contract at the start of the Boer War (1899) to make ambulance and transport wagons. The Massey-Harris Co. persuaded the brothers John A. and George Bain to affiliate with them in the manufacture of wagons and to relocate Bain Wagon Co. from Brantford to Woodstock.

As an incentive, Massey-Harris contributed capital for expansion by buying shares in Bain Wagon Co. The large, empty, well-appointed premises into which the Bains moved in 1896 had already been bought by Massey-Harris from a then-defunct maker of farm ploughs, Patterson Bros. Co.
